Terms of Service

These Terms of Service (“Terms”) govern your access to and use of kernia.ai and any pages, content, tools, and interactive functionality made available through it (together, the “Website”). The Website is operated by WeRedd Pte. Ltd., trading as Kernia (“Kernia”, “we”, “us”, or “our”), a company incorporated in Singapore under UEN 202535734G, with its registered address at 37 Sultan Gate, Singapore 198485.

By accessing or using the Website, you agree to be bound by these Terms and by our Privacy Policy and Cookie Policy. If you do not agree, do not use the Website.

1. Relationship with other agreements

These Terms govern your use of the Website only. They are not the agreement under which Kernia provides the Aion platform or any paid services.

  • If your organisation is a Kernia customer, the use of Aion is governed by the Services Agreement, the Data Processing Agreement, and any order form executed between Kernia and your organisation. In the event of any conflict between those agreements and these Terms in relation to Aion, those agreements prevail.
  • If you are accessing Aion through the client login, your use of the platform is subject to the Services Agreement executed with your organisation and not to these Terms.
  • Separate terms may apply to specific tools, downloads, or campaigns made available through the Website. Where this is the case, those terms are presented to you at the point of access and, in the event of any conflict, prevail for that specific tool, download, or campaign.

2. Eligibility and authority

The Website is intended for a professional, business audience. By using the Website, you represent that:

  • you are at least 18 years old;
  • if you are using the Website on behalf of an organisation, you have the authority to bind that organisation to these Terms, and references to “you” include that organisation; and
  • your use of the Website complies with all applicable laws and regulations in your jurisdiction.

3. Permitted use

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and view the Website for your own internal business and informational purposes. Any other use requires our prior written consent.

You may share links to publicly available pages on the Website and quote short excerpts with attribution to Kernia, provided you do not alter the meaning of the content or imply endorsement by Kernia of any person, product, or service.

4. Prohibited conduct

You must not, and must not permit any other person to:

  • use the Website in any way that breaches applicable law, infringes the rights of any person, or is fraudulent, deceptive, harmful, or malicious;
  • copy, reproduce, republish, resell, or exploit any part of the Website for commercial purposes without our prior written consent;
  • reverse engineer, decompile, disassemble, scrape, or otherwise attempt to derive the source code, underlying ideas, or structure of the Website or any software made available through it, except to the extent permitted by mandatory law;
  • interfere with, disrupt, or attempt to gain unauthorised access to the Website, its servers, or any connected systems, including by introducing malware, overloading, or circumventing access controls;
  • use automated means (including bots, scrapers, or crawlers) to access, collect, or index Website content, except for well-behaved search engine crawlers acting in accordance with our robots.txt directives;
  • use the Website or any data obtained from it to train, evaluate, or benchmark any artificial intelligence or machine learning model;
  • misrepresent your identity, affiliation, or authority, or submit false or misleading information through any Website form; or
  • use the Website, or any information obtained from it, to compete with Kernia, including for the purpose of developing a competing product or service.

We reserve the right to restrict, suspend, or terminate your access to the Website if we reasonably believe you have breached these Terms, without liability to you.

5. Forms, enquiries, and interactive tools

The Website includes forms, calculators, booking tools, and other interactive functionality — including demo request forms, contact forms, the ROI calculator, partner enquiry forms, gated content downloads, and an interactive product tour.

When you submit information through any of these channels:

  • you confirm that the information you provide is accurate, complete, and submitted with the appropriate authority;
  • you acknowledge that the outputs of interactive tools — including the ROI calculator — are illustrative estimates based on the assumptions and values you enter and on published or benchmark figures. They are provided for informational purposes only, do not constitute financial, legal, or professional advice, and should not be relied upon as a guarantee of outcomes or as a substitute for advice from qualified professionals;
  • you acknowledge that any information you submit through a Website form is not treated as confidential unless a separate non-disclosure agreement has been executed between you (or your organisation) and Kernia, or the information is expressly covered by the Services Agreement and Data Processing Agreement;
  • you grant us a non-exclusive, worldwide, royalty-free licence to use the information you submit for the purpose of responding to your enquiry, providing the materials you have requested, and operating and improving our business, subject always to our Privacy Policy.

6. Client login

The /login page is provided for existing Kernia customers to access their Aion account. Access is subject to the Services Agreement executed between Kernia and the customer organisation. You must:

  • keep your login credentials secure and confidential;
  • use your account only for the purposes permitted under the Services Agreement;
  • notify Kernia immediately if you suspect any unauthorised access or security breach.

We may suspend or revoke access where required to protect the security of the platform, investigate suspected misuse, or comply with the Services Agreement or applicable law.

7. Intellectual property

All content on the Website — including text, graphics, images, logos, product names, trademarks, methodology diagrams, the “Kernia” and “Aion” names and marks, the taglines “Intelligence, by design.” and related marks, software, and the selection, arrangement, and presentation of the foregoing — is owned by or licensed to Kernia, and is protected by copyright, trademark, and other intellectual property laws.

Nothing on the Website grants you, by implication, estoppel, or otherwise, any licence or right to use any Kernia trademark, logo, or brand element without our prior written consent. Third-party trademarks referenced on the Website remain the property of their respective owners.

Subject to your compliance with these Terms, we grant you a limited right to view and, where a page or asset is expressly made available for download, to download a single copy for your internal reference, in each case without modification and with all copyright and other proprietary notices retained.

8. User submissions and feedback

If you submit any ideas, suggestions, feedback, or other materials about the Website, Aion, or our products and services (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable licence to use, reproduce, modify, and otherwise exploit that Feedback for any purpose, without any obligation to you. We will not treat Feedback as confidential unless a separate agreement expressly provides otherwise.

9. Third-party content and links

The Website may contain links to, or embed content from, third-party websites, tools, and services — including video platforms, booking tools, analytics providers, and interactive product-tour software. We do not control those third parties and are not responsible for their content, products, services, or practices. Your use of any third-party website or service is at your own risk and subject to the terms and policies of that third party.

10. Availability and changes to the Website

We strive to keep the Website available and up to date, but we do not guarantee uninterrupted access. We may:

  • change, suspend, or discontinue all or part of the Website, including any feature, page, or interactive tool, at any time without notice;
  • modify the content of the Website, including pricing references, benchmark figures, case study metrics, and other material, to reflect new information or circumstances; and
  • restrict access from specific jurisdictions, networks, or users where required by law or where we reasonably consider it appropriate.

We are not liable for any loss or inconvenience caused by any such change, suspension, or restriction.

11. Disclaimers

To the maximum extent permitted by law, the Website and its content are provided “as is” and “as available”, without any warranty of any kind, express or implied. We specifically disclaim any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, and uninterrupted or error-free operation.

Without limiting the generality of the foregoing:

  • the information on the Website — including descriptions of Aion, its methodology, capabilities, benchmarks, case study results, and financial figures — is provided for general informational purposes and does not constitute a binding offer, commitment, or warranty;
  • past performance and benchmark results referenced on the Website are not a reliable indicator of future results;
  • outputs of interactive tools (including the ROI calculator) are estimates only and do not constitute financial, legal, tax, or professional advice;
  • we do not warrant that the Website is free of viruses, malware, or other harmful components, and you are responsible for implementing appropriate safeguards on your own systems.

Nothing in these Terms excludes or limits any warranty or liability that cannot be excluded or limited under applicable law.

12. Limitation of liability

To the maximum extent permitted by law, Kernia, its affiliates, and its and their respective officers, directors, employees, agents, licensors, and suppliers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of revenue, profits, business, goodwill, data, or anticipated savings — arising out of or in connection with your access to or use of, or inability to access or use, the Website, whether based in contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

Our aggregate liability for any and all claims arising out of or in connection with these Terms or your use of the Website shall not exceed one hundred Singapore dollars (S$100).

This clause does not apply to liability that cannot be excluded or limited under applicable law. Where you are a Kernia customer, the limitation of liability set out in the Services Agreement applies to your use of Aion and prevails over this clause in respect of that use.

13. Indemnity

You agree to defend, indemnify, and hold harmless Kernia, its affiliates, and its and their respective officers, directors, employees, and agents from and against any claims, liabilities, losses, damages, judgments, and reasonable legal fees arising from:

  • your breach of these Terms;
  • your use of the Website in violation of applicable law or of the rights of any third party; or
  • any information you submit through the Website that is inaccurate, misleading, or that infringes the rights of any third party.

14. Privacy

Our collection and use of personal data in connection with the Website is described in our Privacy Policy and Cookie Policy, which form part of these Terms by reference.

15. Changes to these Terms

We may amend these Terms from time to time to reflect changes in our practices, the Website, or applicable law. The updated version will be indicated by a revised “Last updated” date at the top of the page and will take effect when posted. Your continued use of the Website after the updated Terms take effect constitutes acceptance of the updated Terms. Where the changes are material, we will take reasonable steps to bring them to your attention.

16. General

Entire agreement. These Terms, together with the Privacy Policy, the Cookie Policy, and any other document expressly incorporated by reference, constitute the entire agreement between you and Kernia in relation to the Website and supersede any prior communications or agreements on that subject.

Severability. If any provision of these Terms is held to be unlawful, invalid, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary and the remaining provisions shall remain in full force and effect.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

Assignment. You may not assign or transfer these Terms or any of your rights or obligations under them without our prior written consent. We may assign or transfer these Terms without restriction.

No agency. Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and Kernia.

Brand and registration changes. Kernia may change its trading name, registration details, or registered address without affecting the validity of these Terms. Updated details will be reflected on the Website.

17. Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or your use of the Website, are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles. You irrevocably submit to the exclusive jurisdiction of the courts of Singapore. Nothing in this clause prevents us from seeking urgent injunctive or interlocutory relief in any competent jurisdiction.
